Constitution of the Alliance of Logistics Associations along New Eurasian Continental Bridge
Chapter 1 General Provisions
Article 1 Full name of the Alliance is the Alliance of Logistics Associations along New Eurasian Continental Bridge, hereinafter referred to as the Alliance of the Continental Bridge Logistics Associations.
Article 2 Nature: the Alliance is a social public welfare loose industry association cooperation organization joined voluntarily by domestic logistics associations (or logistics societies) of provinces, autonomous regions and main cities along the New Eurasian Continental Bridge, for information exchange and project cooperation.
Article 3 Purpose: under the leadership of the Communist Party of China, with the scope permitted by China’s constitution, laws, rules and regulations and policies, guided by the scientific outlook on development, on the basis of the Several Opinions on Quickening Reform and Development of Industry Associations and Chambers of Commerce, and closely centering on development of logistics in the economic zone along the Bridge, to in time summarize and spread experiences of logistics enterprises in mechanism system reform, opening up to the outside world and enlivening domestic economy, exchange information on logistics market and technology, and advanced operation and management experiences of domestic and foreign logistics enterprises, promote work exchange of domestic logistics associations and economic cooperation between logistics enterprises in the region along the Bridge, and with logistics enterprises and industrial chain in other provinces of China and in Central Asia and Northeast Asia, and strive to develop new market and new product, so as to make contributions to development of logistics along the Bridge and promotion of economic and social development and technological progress.
Article 4 Mission: Uniting logistics associations along the Bridge to set up information exchange platform, promote cooperation between logistics enterprises, push forward development of logistics and revitalize and promote prosperity of economy along the Bridge.
Article 5 Alliance Conference Secretariat is the permanent body of the Alliance. Secretariat place: Urumqi, Xinjiang.
Chapter 2 Scope of Business
Article 6 Scope of business of the Alliance:
1. To study and discuss questions (issues) raised by alliance members at regular or irregular interval; to summarize, exchange and spread successful experiences of logistics associations under the Alliance in industry management and self-discipline, communication with government authorities and service enterprises, expanding international market and promoting scientific development of local logistics.
2. To summarize and exchange successful experiences of logistics enterprises under the Alliance in deepening reform, expanding opening-up, improving operation, practicing scientific management, applying technology, bringing in talents and developing productivity according to requirements of the scientific outlook on development.
3. To in time exchange and study information of relevant domestic and foreign logistics industries on economy, technology, operation, management and technological results; to organize experts to survey, research and discuss relevant subjects on development, operation and management of logistics enterprises in the region, and provide the enterprises with information service.
4. To organize alliance members and enterprises to visit and learn from each other, make investigations in other provinces and cities of China and abroad; to invite domestic and foreign logistics entrepreneurs and relevant experts for exchanges of transport and economic development along the Continental Bridge.
5. To organize forum on logistics along the Bridge, take advantage of the Bridge-oriented newspapers and periodicals to in time offer and spread information on and reform trends of policies, economy, market and science and technology of the Central Government, provinces (autonomous regions) and cities concerned, recommend and introduce experiences of logistics enterprises under the alliance members in operation and management, and organize publication of academic theses and technological achievements by alliance members and their logistics enterprises.
6. To enhance work ties and economic cooperation between enterprises of alliance members, large- and med-sized logistics enterprises with small-sized ones, and logistics enterprises in East, Central and West China.
7. To organize other activities conducive to the alliance members.
Chapter 3 Members
Article 7 The Alliance consists of: logistics associations and logistics societies of provinces, autonomous regions and major cities of China along the New Eurasian Continental Bridge Economic Zone.
Article 8 Conditions for membership of the Alliance: all the above-mentioned associations and societies, if having wishes to join the Alliance, supporting the Constitution of the Alliance and willing to undertake tasks of the Alliance, are all eligible for becoming a member through application. Joining procedures: (1) submitting written application; (2) passed by the secretariat through discussion.
Article 9 Alliance members shall enjoy the following rights:
(1) The right to elect, be elected and vote;
(2) The right to participate in various activities organized by the Alliance;
(3) The right to supervise and make comments or suggestions on the Alliance’s work;
(4) All associations and societies are free to join or withdraw from the Alliance.
Article 10 Alliance members must perform the following duties:
(1) To execute resolutions of the Alliance and safeguard legitimate rights and interests of the Alliance;
(2) To undertake annual conference in rotating manner in accordance with resolution of the general meeting of all alliance members;
(3) To report situations and offer relevant information to the Alliance(the Alliance Secretariat);
(4) To complete other works specified by the Alliance.
Article 11 Any member unit, if wanting to withdraw from the Alliance, should give written notice to the Alliance Secretariat in advance.
Chapter 4 General Meeting of all Alliance Members and the Leading Body
Article 12 General meeting of all alliance members is the top power of the Alliance, and shall be held once every three years (and can be held together with the annual conference that same year). The general meeting of all alliance members shall have a secretariat, which will exercise functions and powers by representing the Alliance when the general meeting is not in session.
Article 13 Functions and powers of the general meeting of all alliance members are:
(1) To formulate and revise the Constitution;
(2) To deliberate the secretariat’s work report and relevant financial report on receipts and payments;
(3) To elect and recall Secretary-General and Vice Secretary-General;
(4) To recommend and determine annual conference rotating chairman unit within three years;
(5) To consider decision on or termination of major matters or other matters related to the Alliance.
Article 14 General meeting of all alliance members shall not be held unless more than 2/3 of the members are present at the meeting, and the resolution shall not come into force until it is adopted by votes of more than half of the members.
Article 15 Secretary-General and Vice Secretary-General
The Alliance Conference shall have a Secretary-General, who will be the main person in charge of daily affairs of the Alliance, elected through democratic procedures by and responsible to the general meeting of all alliance members, and responsible for daily liaison and coordination works of the Alliance when the general meeting of all alliance members is not in session. Secretary-General shall have the tenure of office of three years, and can be reelected for the second term, but not for the office more than two terms.
The Alliance shall have several Vice Secretary-Generals. Vice Secretary-Generals shall be elected by the general meeting of all alliance members, and serve as assistant to the Secretary-General to assist the Secretary-General in alliance affairs.
Article 16 Secretary-General shall exercise the following functions and powers:
(1) To coordinate, prepare, organize holding of and chair the general meeting of all alliance members and the annual conference;
(2) To represent the Alliance Secretariat to make report on alliance work to the general meeting;
(3) To check execution of resolutions of the general meeting;
(4) To nominate candidates for next-session Secretary-General and Vice Secretary-Generals of the Alliance, and candidates for the alliance annual conference sponsoring unit and rotating chairman for the following three years; to make decision on appointment of full-time personnel with the secretariat;
(5) To assist the alliance's annual conference rotating chairman unit in preparing the alliance's annual conference in accordance with resolution of the general meeting, urge annual conference rotating unit to do well preparations for the conference, check implementation of the preparation, provide help for rotating chairman to call annual conference and participate in chairing of the conference;

(6) To deal with other daily affairs.
Article 17 Election and recall of Secretary-General and Vice Secretary-Generals
(1) Secretary-General shall be recommended by member units through democratic procedures and elected by the general meeting of all alliance members. The nominated candidate for the Secretary-General shall not be elected to the position unless he/she is approved by more than half of the representatives present at the general meeting.
(2) Vice Secretary-Generals shall be nominated by the Secretary-General and shall not be elected to the position unless they are approved by more than half of the representatives present at the general meeting.
(3) The Secretary-General, if failing to perform his duty due to transfer of post, leaving the logistics association (society )or other reasons, can be recalled after the secretariat’s investigation; during the dismissal of the Secretary-General, one of the Vice Secretary-Generals will be determined as the head to be in charge of the secretariat’s work in order of ranking, and exercise functions and powers as the Secretary-General.
Article 18 Secretariat is the standing work unit of the Alliance, consists of Secretary-General, Vice Secretary-Generals and full-time personnel for relevant work of the logistics association at the place of the Secretary-General, and works under the leadership and specific direction of the Secretary-General. Its basic duties are:
(1) To execute resolution of the general meeting of all alliance members;
(2) To be responsible for daily liaison, consultation and communication with member units under the leadership of the Secretary-General, and report to the secretariat opinions and requirements of member units;
(3) To be responsible for preparing general meeting of all alliance members, draft the Alliance’s work report and financial report on receipts and payments;
(4) To assist the Alliance’s annual conference rotating unit to prepare annual conference;
(5) To accept applications of logistics associations (societies)along the Bridge, and investigate and make decision on admission or withdrawal of an alliance member;
(6) To formulate internal management system.
Chapter 5 Annual Conference of the Alliance
Article 19 The Alliance’s annual conference is one of major activity forms of the Alliance, and shall be held once every year and undertaken by member units in turn. Person-in-charge of sponsoring unit shall be the rotating chairman of the annual conference that year.
Article 20 Main contents of the Alliance’s annual conference:
1. To summarize and exchange work experiences of relevant logistics associations (societies).
2. To summarize, exchange and spread successful experiences of relevant logistics enterprises in deepening reform, expanding opening-up, improving operation, practicing scientific management, applying technology and bringing in talents.
3. To exchange fruits or information of domestic and foreign logistics industries in economic development, business management and technological innovation.
4. To deliberate issues with generality raised by logistics enterprises, and investigate and discuss problems in development of logistics along the Bridge, so as to provide policy guidance and information service for the logistics enterprises.
5. To organize logistics enterprises under the Alliance to visit and learn from each other, make investigations in other provinces and cities; to invite domestic and foreign logistics experts for exchanges of transport and economic development along the Bridge.
6. To organize publication of academic theses and technological achievements by alliance members and their logistics enterprises.
7. To explore economy cooperation intentions of member enterprises.
Article 21 Rotating chairman of the Alliance’s annual conference shall be the main person-in-charge of the annual conference, with the tasks: to be responsible for undertaking, preparing and organizing the annual conference in accordance with resolution of the last annual conference; to assist the Secretary-General in chairing the annual conference.
Article 22 Non-alliance-member units, if wanting to attend the Alliance’s annual conference, must be approved by the rotating unit of the annual conference, subject to invitation by the rotating chairman, and reported to the secretariat for reference before attending the conference as observer.
Article 23 Any holding of the annual conference in advance or in deferral as necessary due to special reasons must be reported to the secretariat and subject to approval as the Secretary-General seeks from two thirds of Vice Secretary-Generals. However, the postponed period must be in the same year and shall not be more than six months.
Chapter 6 Funds
Article 24 Funds for the Alliance to carry on activities will mainly come from financial assistance of member units:
(1) Direct expenses of the general meeting of all alliance members and the annual conference shall be generally offered by the annual conference rotating chairman unit, and costs for travel, lodging and boarding of representatives of member units and their personal expenses shall be borne by themselves.
(2) Expenses from other activities organized by the Alliance shall be shared equally by the activity participants generally, except for the sponsorship by relevant units.
Chapter 7 Revision of the Constitution
Article 25 Revision of the Alliance must be submitted to the general meeting of all alliance members for discussion and adopted by vote; the revised constitution of the Alliance will come into force after it is affixed with signatures of all the member units.
Chapter 8 Termination Procedures
Article 26 Disbanding of the Alliance due to accomplishment of its purpose or its own reason must be subject to a motion raised by the secretariat and adoption by vote of the general meeting of all alliance members.
Chapter 9 Supplementary Provisions
Article 27 This Constitution is adopted by vote of the general meeting of all alliance members and confirmed by their signatures on June 18, 2009, and comes into force from the same day.
Article 28 The power and responsibility to interpret this Constitution shall remain with the general meeting of all alliance members.
